Terms and Conditions for Toxi Songs
Thank you for showing interest in my commissions! These terms of service are meant to cover exactly how the process of commissioning a song with me would go. By placing a commission with me, you assert that you have read to and agree with the rules set forth in this document. To be absolutely clear, the rules in this document may change at any time. However, this will not affect any existing commissions that were filed prior to the changes.
For the sake of clarity, this section will cover definitions of key terms. From here on out, when unclear words are used and not defined in this section, they are used as widely understood in the music and/or art industry, whichever is most applicable.

Tell me all about what you want out of this Song. You can never be too specific—the more detail you give me, the more I can make sure my Song fits your vision! For the sake of setting reasonable rates, please tell me as the bare minimum about the Genre or style you want the Song to be in, as well as a basic duration (in minutes). Examples available upon request, but I am most comfortable with: hip-hop/rap, R&B/soul, alternative. I am less confident in, but can still provide: soft rock, singer-songwriter, pop, electronic music, hyperpop.
Please remember that I am merely an Artist, and I am still learning. I reserve the right to refuse your Commission or ask for modifications for any reason, including but not limited to:
We will discuss Reimbursement at this stage. As far as base rates go, you will only pay for what you Commissioned. This means that if you requested a two-minute Song, and I delivered a Song that was three minutes long, you would only be charged for two minutes. I believe that this is the most fair way to go about this. You will only pay when I am finished with the Song.
Prior to starting your Commission, I will ask you for a secret word. The word dynamically changes over time—as of right now, where you live, it is %WORD4MONTH%. You replying to me with this word will be confirmation that you have read these Terms and agree to its guidelines, accounting for any modifications we may have discussed earlier. Your Commission will begin when I receive this reply, pursuant to the terms of our Agreement.
I will go forward under the assumption that you know what my music generally sounds like, whether that be because you’ve listened to some or all of my Portfolio, or because you have listened to some of my original work on digital stores such as Spotify and other competitors. If you have not at this stage, please do.
I will try my best to keep you involved in the creative process of making the Song. This means that I will use the same avenue of communication in which the Commission was filed, to provide updates about portions of the Song, and bounce some ideas off of you, whether that be sonically, lyrically, etc. This is a Song I am making for you, and I want to make sure that you’re happy with the direction I am going!
Being in the loop is a two-way street, however. Just as much as you can expect me to regularly update you about the Song, I will also be expecting to hear back from you about these updates. These do not necessarily need to be feedback-based replies, nor do they have to be lengthy—it just helps me to know that you’re receiving them. If I send three (3) updates to you and I do not receive a response to any of them for a considerable length of time, I may at my sole discretion decide that working on the Song may be worth holding off on until the day that I do get a response. This does not mean that your Commission is cancelled, but it will be placed on hold while I prioritize other activities. Your reply, however late it will come, will prompt me to continue working on the Commission.
This is a safety net I am throwing your way—once I have started work on your Commission, I cannot forfeit the Commission or nullify our Agreement, unless I believe without a shadow of a doubt that you will not be able to uphold the terms of our Agreement. This includes but is not limited to whether or not you will be able to complete Reimbursement. This does NOT include me temporarily pausing work on your Commission pursuant to other conditions set in these Terms, or for miscellaneous reasons such as health or family that I will communicate to you beforehand.
Now is the time to give suggestions and feedback and steer me back on track if you don’t like where the Song is going. After I finish the Song, I am not making any more modifications to the Song, except where the Terms expressly allow me to. This is also dependent on how far along I am in the Production process—if I am nearing completion of the Song and you want me to change one of its fundamental aspects, I may deny your request outright. As time passes, the requests I am willing to accommodate will be more and more minor.
Per section 2b of these Terms, upon completion of the Song, no further modifications can be made to the Song—they should have been made during the Production stage. Unless an alternative method of delivery, like an email address, was set forth in the Agreement, the Song will be delivered through the same avenue that updates were being sent during the Production stage.
What happens next depends on the Reimbursement plan that the Client has set up.
Whether or not the Client receives a Lossy or Lossless version depends on whether the preferred method of delivery has a strict file-size limit. To name examples, Discord will almost always prompt a Lossy version of the Song to be delivered, due to the low file-size limit. However, Lossless versions will almost always be sent if the Client prefers to receive the Song via email. If the Client receives a Lossy copy of the Song, they can request a Lossless copy at no additional cost to them, and vice-versa. In any scenario, the Client can also request the following, at no additional cost:
Unless otherwise touched on in the Agreement, the Artist retains all relevant creative rights and copyright to the Song, but leases it to Client on a personal and non-commercial use basis. The Client can listen to and share the Song with whomever as they please. If the Client decides to share the Song online, whether standalone or as part of a bigger work, it would be appreciated if the Client links back to the Artist’s matching social media (e.g. tag the Artist on Twitter if you are posting on Twitter) as proper attribution. This is not a strict requirement, however.
Thanks for doing business with me. If I end up particularly proud of the Song I created as a result of your Commission, I may consider adding it to my Portfolio’s tracklist for others to listen to, and/or sharing it on my social media platforms. You reserve the right to revoke permission for me to do the aforementioned, and I will respect your wishes.
